Terms of Service

1. Acceptance of Terms
By accessing or using the Moonwell protocol interface ("Interface") at moonwell.li, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Interface. These Terms constitute a legally binding agreement between you ("User") and the Moonwell protocol contributors.
2. Description of Service
Moonwell is an open-source, non-custodial decentralized finance protocol deployed on public blockchains including Base, OP Mainnet, Moonbeam and Moonriver. The Interface provides access to the following protocol functions:
- Token swaps at live market rates
- Supplying crypto assets to lending markets to earn variable interest
- Borrowing crypto assets against deposited collateral
- Depositing into curated, automated yield vaults
- Staking WELL tokens for governance participation and rewards
The Interface is a front-end application that interacts with self-executing smart contracts on public blockchains. Moonwell does not custody, control or have access to your digital assets at any time.
3. Non-Custodial Nature
Moonwell is fully non-custodial. All transactions are executed through smart contracts deployed on public blockchains. When you supply, borrow, swap or stake assets, you interact directly with these smart contracts using your own self-custodial wallet. Moonwell has no ability to access your private keys, freeze your funds, reverse transactions or prevent withdrawals.
4. Eligibility
You must be at least 18 years of age to use the Interface. By using the Interface, you represent that you are of legal age in your jurisdiction and that your use of the protocol does not violate any applicable law, regulation or directive in your jurisdiction.
5. Prohibited Activities
You agree not to use the Interface for any unlawful purpose, including but not limited to:
- Money laundering, terrorist financing or sanctions evasion
- Market manipulation, wash trading or fraudulent activity
- Exploiting smart contract vulnerabilities for personal gain
- Using automated systems to disrupt the Interface or protocol
- Accessing the Interface from jurisdictions where DeFi usage is prohibited
6. Risks
Using decentralized finance protocols involves significant risks. By using Moonwell, you acknowledge and accept the following risks:
- Smart contract risk — despite audits by Halborn Security and formal verification by Certora, smart contracts may contain undiscovered vulnerabilities
- Market risk — crypto asset prices are volatile and can decline rapidly, potentially triggering liquidation of borrowed positions
- Liquidation risk — if your collateral value falls below the liquidation threshold, your position may be partially or fully liquidated
- Interest rate risk — supply and borrow APY rates are variable and can change significantly based on market utilization
- Network risk — blockchain congestion, forks, or outages may affect transaction execution
- Regulatory risk — the legal and regulatory environment for DeFi is evolving and may change
- Staking risk — staked WELL may be subject to slashing during Shortfall Events
7. No Financial Advice
Nothing on the Interface or in these Terms constitutes financial, investment, legal or tax advice. APY and APR rates displayed are variable, historical or projected — they are not guarantees of future returns. You should consult with qualified professionals before making financial decisions. Moonwell is not a registered broker, dealer, investment advisor or financial institution.
8. Intellectual Property
The Moonwell protocol smart contracts are open-source software. The Interface design, branding, logos, documentation and other proprietary materials are the property of the Moonwell protocol contributors and are protected by applicable intellectual property laws.
9. Limitation of Liability
To the maximum extent permitted by law, the Moonwell protocol contributors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, digital assets or other intangible losses, resulting from your use of or inability to use the Interface or protocol.
10. Disclaimer of Warranties
The Interface and protocol are provided "as is" and "as available" without warranties of any kind, whether express or implied. Moonwell does not warrant that the Interface will be uninterrupted, secure, error-free or that any defects will be corrected.
11. Indemnification
You agree to indemnify, defend and hold harmless the Moonwell protocol contributors from any claims, damages, losses, liabilities and expenses arising from your use of the Interface, your violation of these Terms, or your violation of any rights of a third party.
12. Modifications
Moonwell reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Interface after modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration.
